The corporation is a form of business ownership that has advantages and disadvantanges over other forms of business ownership. As a legal entity, the corporation is distinct from its owners. They usually have the following characteristics:

  • Limited Liability for Owners, Directors, and Officers: The owners of a corporation (shareholders) generally are not personally liable for obligations of the corporation. The owners risk only the imvestment they they make in the businessto purchase ownership interests.
  • Centralized Management: Generally, the right to manage a corporation is not spread out among the shareholders, but rather centralized in a board of directors, who usually delagate day-to-day management duties to officers. Colorado Corporate Law

The Colorado Corporations Act governs corporate activity and business transactions. It is somewhat similar to other states. If you own a business or corporation you understand that your by-laws and operating documents must be sound and articulate. The incorporators, or initial board of directors must initially adopt corporate by-laws. Generally, the shareholders, the board of directors, can amend the by-laws unless the articles of incorporation say other wise.  This minimizes corporate disputes and gives everyone a more clear understanding of the rules.

Formation of Corporations. Like LLCs, Denver corporations must be established in accordance with the applicable laws of the jurisdiction in which the entity is to be formed. While state laws governing the formation of Corporations are very similar, certain procedures, forms, maintenance requirements and filing expenses vary from state to state. Generally, you must file a charter document (usually called “Articles of Incorporation”) with the Colorado Secretary of State, and pay the required filing fees. The fees for filing the Articles of Incorporation range from $50 to $1,000, depending on the jurisdiction in which you file.
