Colorado Corporate Law
The Colorado Corporations Act governs corporate activity and business transactions. It is somewhat similar to other states. If you own a business or corporation you understand that your by-laws and operating documents must be sound and articulate. The incorporators, or initial board of directors must initially adopt corporate by-laws. Generally, the shareholders, the board of directors, can amend the by-laws unless the articles of incorporation say other wise. This minimizes corporate disputes and gives everyone a more clear understanding of the rules.
Formation of Corporations. Like LLCs, Denver corporations must be established in accordance with the applicable laws of the jurisdiction in which the entity is to be formed. While state laws governing the formation of Corporations are very similar, certain procedures, forms, maintenance requirements and filing expenses vary from state to state. Generally, you must file a charter document (usually called “Articles of Incorporation”) with the Colorado Secretary of State, and pay the required filing fees. The fees for filing the Articles of Incorporation range from $50 to $1,000, depending on the jurisdiction in which you file.
